1. Acceptance of Terms
By engaging Sidhman Technologies for software services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.
2. Definitions
"Software" refers to the products and services provided by Sidhman Technologies. "Client" or "You" refers to the business or entity that engages Sidhman Technologies for software services.
3. Scope of Services
Sidhman Technologies agrees to provide software services as described in the accompanying Statement of Work (SOW) or other written agreement between the parties. The SOW will specify the details of the project, including the scope, timeline, and fees.
4. Payment Terms
Client agrees to pay Sidhman Technologies the fees and expenses as outlined in the SOW. Payment terms, including invoicing and due dates, will be specified in the SOW.
5. Intellectual Property
All software, code, and related materials developed or provided by Sidhman Technologies remain the intellectual property of Sidhman Technologies unless otherwise agreed upon in writing. Sidhman Technologies grants the Client a non-exclusive, non-transferable license to use the software for its intended purpose.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.
7. Warranty and Support
Sidhman Technologies warrants that the software services will be performed in a professional and workmanlike manner. Any defects or issues will be addressed as outlined in the SOW or as per mutually agreed-upon terms.
8. Limitation of Liability
Sidhman Technologies is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of its services.
9. Termination
Either party may terminate the engagement for cause or convenience, as specified in the SOW or mutually agreed-upon terms. Termination rights and obligations, including any termination fees, will be addressed in the SOW.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Nashik Jurisdiction. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Nashik Jurisdiction.
12. Changes to Terms
Sidhman Technologies reserves the right to update or change these Terms and Conditions at any time, and any such changes will be effective immediately upon notice to the Client.
13. Entire Agreement
These Terms and Conditions, together with any attached SOW or other written agreements, constitute the entire agreement between the parties and supersede all prior discussions and understandings.
By engaging Sidhman Technologies for software services, you acknowledge that you have read, understood, and agree to these Terms and Conditions. If you do not agree to these terms, please refrain from using our services.
